Ok, my company merged and as part of the deal we have a considerable amount of cash coming our way.  Of this I can have about $3K for my tri toys.  I am all set on swim and run stuff, as well as tri clothing.  I have a 2008 P2C w over 6K miles since last spring, and it's components have over 10K miles (from previous bike) miles on them (shimano ultegra).  I have awesome Hed 3 race wheels.
I absolutely love how I fit on the P2C but my components are getting old and need some work, some maybe even replacing eg. the gear rings are pretty worn.  Wondering if upgrading components is worth doing, and if that were the case, would it be better to just buy  a new P2C to take advantage of the discounted build on new components.  Perhaps keeping the old one for training and the new one for racing?  Plus my son is getting into the sport and he fits my bike pretty well.  I could also sell it on ebay.
My next IM goal this summer is sub 12:30 so it's not like I'm a pro but I am certainly addicited to this hobby.
Not sure what to do.  I am very lucky to be in this position and would appreciate any advice.

Spend $500 on a new dura-ace derailleurs, cassette and chain.

Send the other $2500 to me so that I can get the Felt B12 my wallet so desperately can't afford.

Personally I would either give the bike to your son or sell it. If you sell it you can take that money plus the money you received from the sale and probably get a pretty sweet ride with some money left over.
If I just sold my business and had some left over money and didn't get a bike I wanted with that money I'd be kicking myself in a year or two.
Just my 2 cents. Congrats on the sale. I'm thinking of doing the sale with one of mine.

Replace worn parts and save the rest for a few months and see how things are after the sale of the company. Waiting will also get you better prices as the new models of bikes and componenets come out in the winter.

Just get the new parts you need like chain, cassette, chainrings.  There is nothing wrong with your bike.  Just because you have it does not mean you need to spend it.

If you want a new bike (for you or your son), buy it. 

But your P2C is a fine machine.  And most of your components likely have plenty of life left on them as long as you've maintained them reasonably.  A new chain, chainrings and cassette are the only things you might need.

is your goal to get faster or have some cool stuff?  Either one is a great goal.

if you want to get faster, get a coach.  sounds like you have all the speed you can buy equipment wise, mainly an aero bike and aero wheels.

after working with him/her for a few months, have him/her access what tools would make you faster.

in the end if it were me and my goal was to get faster, i'd buy a power meter and hire a coach

if my goal was just to have something cool, i'd give my son the current bike, but a new P2C, dura ace, give him the new wheels you keep the HED3s....
